Terms of Service & User Agreement

AgentiCluster LLC ("AgentiCluster," "we," "us," or "our") is an AI-powered online marketplace that connects three categories of users: • Clients — individuals or organizations seeking to hire services or purchase goods. • Service Providers — independent professionals, freelancers, tradespeople, or businesses offering skills and services for hire. • Buyers and Sellers of Goods — individuals or businesses buying or selling physical or digital products through the platform. AgentiCluster operates solely as a matching, escrow, and payment facilitation platform. We are not a party to any service agreement or goods transaction between users, and we do not employ, supervise, direct, or control any Service Provider or Seller.

AgentiCluster provides technology to: (a) Match Clients and Buyers with verified Service Providers and Sellers using AI-powered search. (b) Facilitate pre-qualification communication between the parties before any financial commitment. (c) Hold Client funds in secure escrow via Stripe and release them per established platform rules. (d) Generate a Service Agreement document between the Client and Service Provider as a convenience tool. AgentiCluster makes no representations or warranties about the quality, safety, legality, professional standing, or any other aspect of any service or goods offered on the platform. All service agreements and goods transactions are made directly between the Client/Buyer and the Service Provider/Seller.

When a Client submits a pre-qualification checklist to a Service Provider, AgentiCluster automatically generates a Service Agreement document (the "Contract") referencing both parties (identified by name, email, and phone number where provided at registration or during the pre-qualification process). The Contract becomes binding when: (a) The Service Provider responds YES to all pre-qualification checklist items (constituting electronic acceptance of the Contract and all attached addenda); and (b) The Client proceeds to book the engagement and submits payment held in escrow (constituting the Client's electronic acceptance of the Contract). Any documents uploaded by the Client during pre-qualification (PDFs, photos, specification sheets, site photos, etc.) are automatically incorporated into the Contract as addenda and form part of the binding agreement. Electronic acceptance via the AgentiCluster platform constitutes a legally valid and binding agreement equivalent to a written physical signature under applicable electronic commerce laws. AgentiCluster generates this Contract as a facilitation tool only. AgentiCluster is identified in the Contract as the intermediary but is not a party to the Contract and assumes no liability for either party's performance thereunder.

AgentiCluster shall not be held liable for any damages, losses, disputes, personal injury, property damage, professional negligence, fraud, misrepresentation, missed deadlines, service deficiencies, non-delivery of goods, or any other claims arising from: (a) Services rendered or not rendered by Service Providers; (b) Goods sold, delivered, or not delivered by Sellers; (c) Any conduct, action, or omission of any Client, Service Provider, Buyer, or Seller on or off the platform. The maximum liability of AgentiCluster in any dispute shall not exceed the platform fee collected for that specific transaction. Users agree to indemnify and hold AgentiCluster harmless from any such claims, costs, and legal expenses arising from their use of the platform or their interactions with other users.

Any Client, Buyer, Service Provider, or Seller who connects with another user through AgentiCluster — whether through search results, AI matching, pre-qualification, or any other platform mechanism — agrees that all subsequent engagements arising from that connection must be conducted exclusively through AgentiCluster. Direct hiring, direct payment, or any transaction that bypasses the AgentiCluster platform constitutes a material breach of these Terms and may result in: (a) Immediate account termination for both parties; (b) A circumvention fee equal to 20% of the estimated engagement value; (c) Legal action for breach of contract. This prohibition applies indefinitely to the specific Client-Provider or Buyer-Seller relationship established through AgentiCluster.

All payments are processed through Stripe. Supported payment methods include Visa, Mastercard, American Express, Apple Pay, Google Pay, bank transfers, and 20+ local payment methods across 40+ countries. When a Client books a Service Provider: • A 10% platform service fee is added to the client's total payment. • All funds (subtotal + fee) are held in secure escrow and are not released to the Service Provider until 80% of the job is confirmed complete. • The 80% completion trigger may be activated by: (i) the Client clicking "Mark 80% Complete," or (ii) an automatic time-based trigger when 80% of the estimated project duration has elapsed. • Following the 80% trigger, a 24-hour dispute window opens. If no dispute is raised, funds are released automatically. • The Service Provider receives 95% of the agreed service amount. AgentiCluster retains a 5% commission on provider payouts. • If a Service Provider does not connect their Stripe payout account within 60 days of the payout becoming available, the funds revert to AgentiCluster's account. The Service Provider may contact AgentiCluster to claim these funds; however, AgentiCluster reserves the right to handle all such claims at its discretion. AgentiCluster does not store credit card information. All payment data is handled by Stripe in accordance with PCI DSS standards.

Service Providers and Sellers are solely responsible for: (a) The accuracy of all information provided on their profile, including skills, experience, qualifications, credentials, and rates. (b) Holding any required professional licenses, certifications, or permits for their field. (c) Complying with all applicable local, national, and international laws relevant to their services or goods. (d) Paying all applicable taxes on income earned through the platform. AgentiCluster does not verify professional credentials, background information, or the accuracy of provider profiles. Clients and Buyers are encouraged to perform their own due diligence before engaging any Service Provider or Seller.

To protect both parties and the integrity of the platform: • Service Provider contact details (full name, email, phone) are not disclosed to the Client until after payment is confirmed and funds are released from escrow. • Client contact details are not disclosed to the Service Provider until after payment is confirmed and funds are released from escrow. • Bilateral identity disclosure occurs automatically upon successful payout. Prior to that point, providers are identified on the platform by their alias (e.g., Provider #AC-XXXX). This anonymity policy is a core feature of the AgentiCluster platform and both parties agree to respect and uphold it.

Disputes between Clients and Service Providers regarding service quality or delivery must first be submitted through the AgentiCluster platform dispute system within the 24-hour dispute window following the 80% completion trigger. AgentiCluster will review evidence submitted by both parties and issue a final binding decision to either release funds to the Service Provider or refund the Client. This decision is made at AgentiCluster's sole discretion. Disputes involving AgentiCluster directly shall be governed by the laws of the State of Wyoming, USA, and shall be resolved by binding arbitration in that jurisdiction.

All users agree not to: • Use AgentiCluster for any unlawful, fraudulent, or deceptive purpose. • Provide false or misleading information on their profile or during any transaction. • Harass, threaten, or harm any other user. • Circumvent the platform to avoid service fees or the escrow system. • Upload documents containing personal identifiers during the pre-qualification anonymity phase. • Attempt to identify, contact, or engage another user outside of the platform before bilateral disclosure has occurred. Violation of these terms may result in immediate account suspension or permanent termination without refund.

AgentiCluster collects and stores user information (name, email, phone, payment records) necessary to operate the matching, contracting, and payment facilitation services. We do not sell personal information to third parties. User data may be shared with: Stripe (for payment processing), Resend (for transactional email delivery), Supabase (for data storage), and Anthropic (for AI-powered matching), all under applicable data processing agreements. By using the platform, you consent to the collection and use of your information as described above.

AgentiCluster reserves the right to modify these Terms at any time. Material changes will be notified via email or a platform notice. Continued use of the platform after changes constitute acceptance of the updated Terms.

AgentiCluster LLC operates solely as an intermediary platform that facilitates the connection between Clients and Service Providers. AgentiCluster is not a party to the underlying service agreement and does not employ, contract, or compensate any Service Provider directly. Each Client and each Service Provider is solely responsible for determining, declaring, and paying any and all income taxes, sales taxes, value-added taxes (VAT/IVA), withholding taxes, professional licensing fees, municipal fees, social security contributions, or any other fiscal or regulatory obligations that may apply to payments made or received through the platform, as required by the laws of the country, state, province, or municipality in which the transaction takes place or in which either party resides or operates. AgentiCluster makes no representation that transactions conducted through the platform are exempt from any tax or regulatory obligation in any jurisdiction. It is the exclusive responsibility of the Client and the Service Provider to consult with qualified tax or legal professionals in their respective jurisdictions. AgentiCluster LLC shall have no liability whatsoever for any tax obligations, penalties, interest, or regulatory sanctions arising from transactions conducted through the platform.
